Terms of Service

These Terms of Service ("Terms") govern access to and use of HelloPBX's cloud PBX, SIP trunking, DID and toll-free numbers, call tracking, and wholesale CC/CLI voice routing services (the "Service"), provided by HelloPBX ("HelloPBX," "we," "us," or "our"). By creating an account, funding a balance, or otherwise using the Service, you ("you" or the "Customer") agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility & account registration

You must be at least 18 years old and legally capable of entering into a binding contract to register for an account. You agree to provide accurate, current, and complete information during registration and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not authorized by you.

2. Acceptable use

The Service is provided for lawful business and personal communications only. You agree not to use the Service, and not to permit any third party to use the Service, to:

  • Commit or facilitate fraud, including payment fraud, identity theft, or billing manipulation.
  • Send unsolicited bulk communications, robocalls, or spam of any kind, or violate applicable telemarketing, do-not-call, or anti-robocall laws (including TCPA, TRACED Act, or equivalent laws in your jurisdiction).
  • Spoof, falsify, or misrepresent caller ID information with intent to defraud, harm, or deceive the recipient.
  • Make threatening, harassing, abusive, defamatory, or otherwise unlawful communications toward any person.
  • Transmit content that is illegal, infringing, obscene, or that violates the rights of any third party.
  • Attempt to gain unauthorized access to the Service, other accounts, or underlying carrier networks, or interfere with the integrity or performance of the Service.
  • Resell, sublicense, or provide the Service to third parties in violation of your account plan or without our prior written consent.
  • Use the Service in any manner that violates the laws or regulations of your jurisdiction or the destination of any call, message, or number.

We actively monitor for fraud, abuse, and traffic-quality issues. We reserve the right to throttle, block, or filter traffic that we reasonably believe violates these Terms or poses a risk to our network or other customers.

3. Account suspension & termination

We may suspend or permanently terminate your account, without prior notice, if we reasonably determine that you have violated Section 2 (Acceptable Use) or any other provision of these Terms, including but not limited to fraud, spamming, threats, or abusive conduct. Termination for cause under this section is immediate and forfeits any remaining account balance — see Section 4 (No Refunds) below.

You may close your account at any time by contacting support. Closing your account does not entitle you to a refund of any remaining balance, for the reasons described in Section 4.

4. Payments, billing & no-refund policy

Balances are funded via cryptocurrency (including but not limited to Bitcoin and USDT) and, where offered, other supported payment methods. Cryptocurrency payments are recorded on public blockchains and are irreversible once confirmed; we cannot reverse, cancel, or recover a completed on-chain transaction.

All payments and account top-ups are final and non-refundable.

This policy applies regardless of the reason for the request, including but not limited to unused balance, early account closure, account termination for a violation of these Terms, dissatisfaction with the Service, or a change in your business needs. This policy exists because of the nature of the Service (metered, on-demand wholesale telecommunications capacity that is provisioned and consumed immediately) and the nature of cryptocurrency payments (irreversible, and subject to market volatility that HelloPBX does not control and cannot absorb after funds are received). By funding your account, you acknowledge and accept this policy.

Call, messaging, and number rates are billed against your balance in real time. You are responsible for maintaining sufficient balance to cover your usage; the Service may be automatically suspended if your balance is depleted.

5. Rates & plan changes

Per-minute rates, DID/number pricing, and plan fees reflect underlying carrier and market costs that change frequently and without our control. Accordingly, we reserve the right to change rates, rate decks, and fees at any time. Where required by law, we will provide reasonable notice of material rate changes; otherwise, continued use of the Service after a rate change takes effect constitutes acceptance of the new rate. Historical calls and transactions already billed are not affected by a subsequent rate change.

6. Service availability

We work to provide reliable, carrier-grade service, but the Service depends in part on third-party carriers, underlying telecom networks, and the public internet, which are outside our control. The Service is provided on an "as available" basis without warranty of uninterrupted or error-free operation. We are not liable for outages, degraded quality, or delays caused by upstream carriers, internet service providers, force majeure events, or scheduled maintenance.

7. Regulatory compliance

You are solely responsible for ensuring that your use of the Service — including the content of your calls and messages, the numbers you dial or provision, and any caller ID you present — complies with all applicable laws and regulations in your jurisdiction and in the jurisdiction of every destination you communicate with, including telemarketing, robocall, caller-ID authentication (e.g., STIR/SHAKEN), and data protection laws. HelloPBX may require additional verification or documentation for certain destinations or traffic types where required by our underlying carriers or applicable regulation.

8. Call recording

Call recording is an optional feature that you may enable per number or extension. You are solely responsible for complying with all applicable consent and notification requirements (including two-party consent laws where applicable) before enabling or using call recording.

9. Intellectual property

The Service, including its software, portal, branding, and documentation, is owned by HelloPBX and its licensors and is protected by intellectual property laws. These Terms do not grant you any right to use HelloPBX's trademarks, logos, or brand features without prior written consent.

10. Limitation of liability

To the maximum extent permitted by law, HelloPBX and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from or related to your use of (or inability to use) the Service, even if advised of the possibility of such damages. Our total aggregate liability for any claim arising out of or relating to these Terms or the Service is limited to the amount you paid to HelloPBX in the three (3) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold HelloPBX harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your violation of these Terms, your misuse of the Service, or your violation of any law or third-party right.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above, and, where appropriate, by additional notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which HelloPBX is registered to do business, without regard to conflict-of-law principles, except where applicable local consumer-protection law provides otherwise.
